confidentiality agreement

This Confidentiality Agreement between Hilda W. Allen Real Estate, Inc. (“Broker”) and the Prospective Purchaser or Authorized Agent (“Purchaser”). Broker may provide proprietary or confidential information (“Confidential Information”) regarding listed property solely for Purchaser’s evaluation of a possible purchase, lease, or investment. Purchaser agrees not to disclose, reproduce, or use such information except for that purpose and shall restrict access to those with a legitimate need to know. No direct or indirect contact with the Seller or related parties is permitted without Broker’s written consent. Information already public, lawfully obtained, independently developed, or previously known to Purchaser is excluded. Unauthorized disclosure or misuse constitutes breach, entitling Broker/Seller to injunctive relief and damages up to the Broker’s commission and legal fees. Obligations survive one (1) year; materials must be returned or destroyed upon request. Governed by Georgia law
